Terms of Service

These Terms form an annex to and inseparable part of the agreement between the entity that has entered into the Agreement ("Customer") and Jargan, the provider of the JarganBeta service ("Jargan"). These Terms govern Customer’s use of the JarganBeta platform, including where Customer accesses the platform without a signed order form.

Definitions
1.1 "Agreement" means any binding contract or online registration through which Customer obtains access to the Jargan service.
1.2 "Authorised Users" means individuals Customer permits to access and use the Service.
1.3 "Confidential Information" means all non-public information disclosed by one party to the other, in any form, that is designated as confidential or that reasonably should be understood to be confidential.
1.4 "Customer Data" means all content, files, data, and information submitted or uploaded to the Service by Customer.
1.5 "Feedback" means any input or suggestions related to the Service submitted by Customer.
1.6 "Service" means the JarganBeta platform, including web interfaces, Apps Script, spreadsheet templates, and configuration tools.
1.7 "Third-Party Services" means any external service integrated or linked to via the Jargan platform.

The Service
2.1 The Service enables content planning and creative strategy through integration with Google Sheets and Apps Script, using structured templates and dashboards.
2.2 Customer is responsible for their use of any connected Google services and any third-party tools integrated with the Service.
2.3 Jargan provides the Service electronically and may update its features at its sole discretion.

Account and Access
3.1 Customer is responsible for maintaining access to their Google account, and for ensuring Authorized Users adhere to these Terms.
3.2 The Service may include user configuration stored in the Customer’s own Google Drive; Jargan has no access to user Drive content unless explicitly authorized by the Customer through script permissions.

Fees and Payment
4.1 The Service may be offered as a free beta or a paid subscription. Jargan reserves the right to introduce or modify pricing with notice.
4.2 Customer agrees to pay all applicable fees, if any, associated with their use of the Service.

Usage Restrictions
5.1 Customer agrees not to reverse engineer, duplicate, or redistribute any part of the Service.
5.2 Customer shall not use the Service for unlawful or unauthorized purposes.
5.3 Customer agrees not to circumvent usage limits or script protections built into the Service.

Data and Privacy
6.1 Customer Data remains the sole property of the Customer.
6.2 Jargan does not store Customer Data; all information is stored in Customer’s Google Drive.
6.3 Any data processed through Apps Script is handled in compliance with Google’s execution environment.

Feedback
7.1 Customer grants Jargan a perpetual, irrevocable, royalty-free license to use Feedback for any purpose.

Intellectual Property
8.1 Jargan retains all rights, title, and interest in and to the Service.
8.2 No rights are granted except as expressly outlined in these Terms.

Confidentiality
9.1 Each party agrees to protect the confidentiality of Confidential Information with reasonable care.

Termination
10.1 Customer may discontinue use of the Service at any time.
10.2 Jargan may suspend or terminate Customer access if there is misuse, breach of these Terms, or risk to the Service’s integrity.

Disclaimer of Warranty
11.1 THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. JARGAN DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability
12.1 IN NO EVENT SHALL JARGAN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
12.2 JARGAN’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

Changes to Terms
13.1 Jargan may update these Terms with notice. Continued use of the Service constitutes acceptance.

Governing Law
14.1 These Terms are governed by the laws of California, USA, without regard to conflict of laws principles.
